Terms & Conditions
Welcome to North Africa Company for Food Industries (NORICA). These Terms and Conditions govern your access to and use of our hybrid B2B/B2C agricultural export platform. By accessing our website, placing an order, or submitting a quote request, you agree to be bound by the terms set forth below.
1. General Agreement
By using this website, you confirm that you are legally capable of entering into binding contracts. We reserve the right to amend these Terms and Conditions at any time. Changes will be posted on this page and will become effective immediately upon publication.
2. B2C Orders & B2B Export Quotations
NORICA serves two primary audiences:
- Retail Customers (B2C): Standard items placed in the shopping cart are subject to current listed prices. NORICA reserves the right to cancel any retail order due to inventory inaccuracies, in which case a full refund will be provided.
- Commercial Importers (B2B): Our Quote Request system handles bulk inquiries for international export. Because agricultural commodities fluctuate in price based on harvest seasons (e.g., specific herbs, pulses, or fresh fruits), all preliminary quotes provided through the website are non-binding estimates. A binding contract is only formed when an official Proforma Invoice is signed by both parties.
3. Product Quality, Specifications & Seasonality
We pride ourselves on superior quality. All our products are processed in-house utilizing globally recognized CIMBRIA production lines and adhering strictly to Good Manufacturing Practices (GMP).
While we make every effort to display product forms (whole, powder, dried), colors, and packaging accurately on our website, the natural, agricultural nature of our products means slight variations may occasionally occur based on seasonal harvests.
4. Pricing & Payment Terms
All online retail prices are final at the time of checkout. For B2B export contracts, payment terms (such as Letters of Credit, T/T advance payments, or otherwise) will be explicitly detailed during the final quotation and contracting phases along with the chosen Incoterms (e.g., FOB, CIF, EXW).
5. Shipping & Logistics
By placing an order, you agree to the conditions outlined in our Shipping & Returns Policy. For international shipments, the buyer is generally responsible for import duties, customs taxes, and localized clearance fees unless expressly agreed otherwise via DDP or similar Incoterms in writing.
6. Intellectual Property
All content included on this website—such as text, graphics, logos, images, digital downloads, and data compilations—is the exclusive property of North Africa Company for Food Industries (NORICA) and is protected by Egyptian and international copyright laws. You may not extract or utilize any proprietary information without our express written consent.
7. Limitation of Liability
NORICA shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our platform, or for the delay or inability to deliver products due to Force Majeure events (including extreme weather affecting harvests, port strikes, or global health crises).
8. Governing Law
These Terms & Conditions and any separate agreements whereby we provide you services or products shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from international B2B contracts will be resolved according to the dispute resolution mechanism designated in your final export contract.
